Partner API Terms – Planera AI

These Partner API Terms ("Partner Terms") govern your access to and use of the Planera AI Partner API, the Partner Portal, API keys, documentation, and any related services (collectively, the "Partner Services"). These Partner Terms are entered into between Planera AI ("Planera", "we", "us") and the company or individual on whose behalf the partner account is created ("Partner", "you"). By creating a partner account, accepting an invitation, or using the Partner Services, you agree to be bound by these Partner Terms.

These Partner Terms are separate from and in addition to the consumer Terms of Use and the Privacy Policy. Where these Partner Terms conflict with the consumer Terms of Use with respect to the Partner Services, these Partner Terms control.

1. Partner Accounts

Partner accounts are created by invitation only. You are responsible for keeping your account credentials and API keys confidential, and for all activity that occurs under your account or keys. You must notify us immediately of any suspected unauthorized access or key compromise. You represent that you are authorized to bind the organization you represent to these Partner Terms.

2. API Keys & Access

API keys are issued to you for your own integration use only.
You may not share, resell, sublicense, or transfer API keys to any third party without our prior written consent.
We may rotate, suspend, or revoke keys at any time to protect the integrity, security, or availability of the Partner Services.

3. Acceptable Use

When using the Partner Services, you agree that you will not:

Exceed the rate limits, daily caps, or monthly caps applied to your account or keys, or attempt to circumvent them.
Use the Partner Services to build a product that primarily replicates or competes with Planera's core consumer offering.
Scrape, cache, or store generated content beyond what is reasonably necessary to operate your integration, or in violation of third-party provider terms.
Reverse engineer, probe, or test the vulnerability of the Partner Services except as permitted by law.
Use the Partner Services for any unlawful, infringing, deceptive, or harmful purpose.

4. Usage Limits & Billing

Your account is subject to per-minute rate limits and daily and monthly usage caps. Metered generations may be billed according to the commercial terms agreed with you. Cache hits are tracked for analytics and are not billed. We may adjust limits and pricing on notice.

5. Data & Privacy

You are responsible for ensuring that any data you submit to the Partner Services, and your use of any output, complies with applicable law and the rights of any individuals concerned, including data protection and privacy laws. You must maintain a privacy policy with your end users that accurately describes your use of the Partner Services.

Controller / processor. With respect to any personal data of your end users that you transmit through the Partner Services, you act as the data controller and Planera acts as a data processor (or sub-processor). Planera processes such data only to provide the requested API output and in accordance with your documented instructions (i.e. your API calls), and not for its own independent purposes. You are responsible for establishing a lawful basis for your processing, for providing your end users with an appropriate privacy notice, and for handling data subject requests you receive.

Data processing terms.This section, together with the "Partner Accounts & Partner API" section of our Privacy Policy, forms the data processing terms between you and Planera. Where you require a separate Data Processing Agreement (DPA) or a list of sub-processors, contact partners@planeraai.app. Planera may engage sub-processors (including cloud infrastructure and AI providers) to deliver the Partner Services and remains responsible for their compliance with these obligations.

6. Service Availability & Changes

The Partner Services are provided on an "as is" and "as available" basis. We may modify, suspend, or discontinue any part of the Partner Services, including endpoints and data fields, at any time. We will use reasonable efforts to communicate material breaking changes in advance.

7. Intellectual Property

Planera retains all rights, title, and interest in the Partner Services, including the API, documentation, and underlying models. No rights are granted to you except the limited, non-exclusive, non-transferable, revocable right to access the Partner Services in accordance with these Partner Terms.

8. Confidentiality

Non-public information disclosed in connection with the Partner Services, including API keys, documentation, and pricing, is confidential. You agree to protect it with at least reasonable care and to use it solely to operate your integration.

9. Suspension & Termination

We may suspend or terminate your access to the Partner Services at any time if you breach these Partner Terms, exceed your limits, or create a risk to the Partner Services or other users. Upon termination, your right to use the Partner Services and any API keys ends immediately.

10. Disclaimers & Liability

To the maximum extent permitted by law, Planera disclaims all warranties regarding the Partner Services and is not liable for indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, data, or goodwill arising from your use of the Partner Services.

11. Changes to These Terms

We may update these Partner Terms from time to time. Continued use of the Partner Services after changes take effect constitutes acceptance of the updated Partner Terms.
